These Terms & Conditions ("Terms") govern your access to and use of feedgeni.com (the "Site") and the product feed management services provided by FeedGeni, LLC ("FeedGeni," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2. The Services

FeedGeni provides tools to generate, customize, distribute, and synchronize product feeds to third-party commerce channels. We may modify, suspend, or discontinue any part of the Services at any time. You are responsible for the accuracy and legality of the product data you connect to the Services.

3. Subscriptions, Fees, and Payment

  • Paid plans are billed on a recurring basis (e.g., monthly) until canceled.
  • Fees are charged in advance and, except where required by law, are non-refundable.
  • We may change our fees upon reasonable notice. Continued use after a price change constitutes acceptance of the new fees.
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, infringing, or fraudulent purpose;
  • Upload data that violates the rights of others or any applicable channel policies;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems; or
  • Reverse engineer, resell, or misuse the Services.

5. Third-Party Channels

The Services integrate with third-party platforms such as Google, Meta, TikTok, Reddit, and your e-commerce platform. Your use of those platforms is subject to their own terms and policies. We are not responsible for the availability, content, or actions of third-party services.

6. Intellectual Property

The Services, including all software, content, and trademarks, are owned by FeedGeni or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You retain ownership of the product data you provide.

7. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the fullest extent permitted by law, FeedGeni and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services. Our total liability for any claim shall not exceed the amount you paid to us for the Services in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless FeedGeni from any claims, damages, liabilities, and expenses arising out of your use of the Services, your data, or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. Upon termination, your right to use the Services will cease immediately.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts.
